This role provides broad based internal legal support and strategic advice to the commercial banking deposit and payment vertical at Webster Bank. The position requires a close working partnership with line of business clients at all levels, with other internal legal colleagues, as well as risk management, compliance, regulatory and audit partners supporting those lines of business.

Responsibilities:

  • Structure complex deposit products and arrangements with third parties, working closely with business and technology partners to ensure adherence to legal and regulatory compliance

  • Offer advice on a wide variety of commercial payment products and services including credit card, cash management, ACH, wires, integrated payables, and new payment products and services

  • Review, draft, and negotiate contracts relating to bank products and deposits including, without limitation, control agreements (deposits and securities), escrow and pledge agreements, MSA and TOS for Treasury Management products and FBO structured accounts

  • Maintain and update commercial banking form documents and applicable procedures for commercial products

  • Assist with processing and responding to internal questions related to bank operations (e.g., issues such account opening, signing authority, trust and estates, fiduciary or custodial roles, court orders, etc.)

  • Partner with Compliance, Risk and Audit groups on supported divisional/departmental matters, as appropriate

  • Supervise and manage external counsel, as appropriate

Education, Skills & Experience

  • Minimum of 5 - 7 years' experience working as an attorney with a law firm and/or as in-house counsel structuring, drafting and negotiating commercial deposit related agreements/forms for or with a financial institution

  • Understanding of the payments industry and related legal and regulatory frameworks

  • Ability to identify legal issues, evaluate legal risks, and offer solutions

  • Strong negotiation, interpersonal, organizational skills

  • Excellent communication and drafting skills

  • Demonstrated experience and confidence in risk identification and analysis, and risk management decision making

  • Must have Juris Doctor and at least one state bar admission (active/good standing)

The estimated base salary range for this position is $140,000 USD to $190,000 USD.  Actual salary may vary up or down depending on job-related factors which may include knowledge, skills, experience, and location. In addition, this position is eligible for incentive compensation.
